These Terms of Service ("Terms") govern your access to and use of the services provided by AI Lead Nexus ("AI Lead Nexus," "we," "us," or "our"), operated by Eric Velez in the State of Arizona. By signing up for our services, you ("Client," "you," or "your") agree to be bound by these Terms in full.
If you do not agree to these Terms, do not sign up for or use our services.
AI Lead Nexus provides the following done-for-you services to local service businesses:
AI Chat Agent. An automated chat assistant embedded on your website that responds to visitor inquiries, captures lead contact information, and logs all activity to your dashboard 24 hours a day, 7 days a week.
AI Voice Agent. An automated system that answers inbound phone calls to your business, pre-qualifies callers, captures contact information, and logs all call details to your dashboard 24 hours a day, 7 days a week. Our AI voice agent answers inbound calls only — it does not initiate outbound calls to your customers without a separate, explicit written agreement.
Pipeline and Dashboard. A business dashboard and lead management pipeline that displays AI-captured leads, call activity, chat interactions, pipeline stage, and performance data.
Monthly Performance Report. A summary of your AI system's activity, delivered monthly, showing key metrics including calls handled, leads captured, and pipeline activity.
Website (Optional). A professionally designed website built and hosted by AI Lead Nexus for clients who do not have an existing website. Additional terms governing website hosting are in Section 12.
Our AI voice agent is an automated system powered by artificial intelligence, not a human employee. It is configured to identify itself by name at the start of every call. Callers who sincerely ask whether they are speaking with a human or an AI will be told honestly that they are speaking with an AI assistant.
You agree not to instruct us to configure the AI to claim to be a human, to impersonate a specific real person, or to actively conceal its automated nature when sincerely asked.
AI systems evolve. We may update, retrain, or modify the AI models and logic powering your voice and chat agents as technology improves. We will notify you of material changes that affect how the AI interacts with your customers. Minor updates and improvements may be applied without notice.
AI Lead Nexus will keep AI disclosure practices consistent with applicable law and FCC guidance as regulations evolve.
The AI does:
Answer inbound calls and chat inquiries 24 hours a day, 7 days a week
Capture caller and visitor contact information
Pre-qualify leads by asking relevant questions about their service needs
Log all interactions and contact details to your dashboard
Provide general information about your services based on what we configure
The AI does not:
Book or schedule appointments directly on your behalf
Provide binding price quotes or guarantees
Guarantee capture of every inquiry — occasional missed or incomplete captures may occur
Close sales, negotiate, or make commitments on your behalf
Operate as a licensed professional in any field
Replace human follow-up — the AI captures leads, your team closes them
You are solely responsible for following up with leads captured by the AI. AI Lead Nexus does not guarantee any specific number of leads, call volume, conversion rate, or business results. Results depend on your existing inbound traffic, your team's response speed, and market conditions outside our control.
Our services are delivered using third-party technology providers for CRM, dashboard infrastructure, telephony, and related services. We do not control the uptime, availability, or performance of these underlying technology providers. Service interruptions caused by third-party provider outages, maintenance, or changes are outside our control and do not constitute a breach of these Terms by AI Lead Nexus.
We will make reasonable efforts to notify you of known outages that materially affect your service and to restore functionality promptly.
A list of our current third-party technology providers is available on request.
Your customer data. In providing our services, AI Lead Nexus processes personal data belonging to your customers — including names, phone numbers, email addresses, and service inquiry details — on your behalf. In this capacity, AI Lead Nexus acts as a data processor and you act as the data controller. Your customer data is used solely to provide the services described in these Terms.
Your responsibilities as data controller. You are responsible for ensuring your collection and use of your customers' personal data complies with applicable law, including obtaining any required consents for automated communications sent on your behalf.
No AI training. Your customer data is not used to train AI models, improve AI systems for other clients, or for any purpose beyond delivering the services you subscribed to.
Data ownership. Customer retains all right, title, and interest in and to Customer Data. AI Lead Nexus holds no ownership interest in your customer data and will return or delete it upon termination of your subscription in accordance with our Privacy Policy.
New clients receive a 14-day free trial. The trial begins after setup is complete and you confirm your AI system is live — not at the time of signup. Setup typically takes 4–5 business days after we receive all required information from you.
No credit card is required to start your trial. No charges apply during the trial period.
If you do not convert to a paid subscription before your trial ends, AI system access will be removed. You may reactivate at any time.
Monthly subscription fees are billed in advance on your signup date following your free trial. By providing payment information, you authorize AI Lead Nexus to charge your payment method on a recurring monthly basis until you cancel.
Non-refundable fees. All fees are non-refundable. If you cancel, you retain access through the end of your current paid billing period. No partial refunds are issued for unused days.
Failed payments. If your payment method fails, we will attempt to collect payment and notify you. If payment is not received within 7 days of the due date, we reserve the right to suspend your service until payment is made. Suspended accounts retain their data for 30 days before access is permanently removed.
Fee disputes. If you believe a charge is incorrect, contact us at [email protected] within 30 days of the charge. We will investigate and respond within 5 business days. Disputes not raised within 30 days are waived.
Price changes. We reserve the right to change pricing with 30 days written notice by email. You may cancel before any price change takes effect without penalty.
You may cancel your subscription at any time by emailing [email protected] with "Cancel My Account" in the subject line. There are no cancellation fees, penalties, or long-term contracts.
Paying subscribers. Access remains active through the end of your current paid billing period. You will receive written confirmation of your cancellation and access end date.
Trial cancellations. Trial cancellations: Email [email protected] with 'Cancel My Trial' in the subject line. Access is removed promptly following your cancellation request. No charges apply.
We may ask why you are cancelling. You are not required to answer. If there is a fixable problem, we will try to address it. If you prefer to move on, your cancellation will be processed promptly.
You agree to use our services only for lawful business purposes in compliance with all applicable law. You may not use our services to:
Engage in fraudulent, deceptive, or misleading communications with any person
Violate any telemarketing, communications, or consumer protection law
Contact individuals who have opted out of communications
Collect or process information in violation of any person's privacy rights
Harass, threaten, intimidate, or harm any person
Interfere with or disrupt our systems or those of our technology providers
Attempt to reverse-engineer, copy, or replicate our platform, configurations, or systems
We reserve the right to immediately suspend or terminate your account if we determine at our reasonable discretion that your use violates this section, with no refund.
By using our services, you agree to:
Provide accurate and complete information during onboarding and throughout your subscription
Keep your payment method valid and current
Follow up with AI-captured leads promptly — delayed follow-up directly reduces results
Notify us promptly of changes to your services, service area, pricing, or hours so we can update your AI configuration
Ensure your use of the automated communications we deploy on your behalf complies with applicable law, including any required customer consents
Cooperate with us during onboarding, troubleshooting, and any service changes requiring your participation
Revoke any access you granted to AI Lead Nexus promptly after your subscription ends
As part of our services, we deploy automated SMS messages and email communications on your behalf to your customers, including appointment reminders, quote follow-ups, lead follow-ups, and similar transactional messages.
You, not AI Lead Nexus, are the sender of these communications under applicable law. You represent and warrant that your use of these communications complies with all applicable law, including the TCPA, and that you have obtained any legally required consents from your customers.
AI Lead Nexus is not liable for any claims, penalties, or damages arising from your customers' receipt of automated communications sent on your behalf.
This section applies only to clients for whom AI Lead Nexus built and hosts a website.
Ownership. Your website is hosted on AI Lead Nexus infrastructure. The website design, code, layout, and all materials created for it are and remain the intellectual property of AI Lead Nexus. No ownership interest is transferred to you at any time.
Cancellation and removal. Upon cancellation of your subscription, your website will be taken offline within 30 days of your billing end date. You will receive written notice of the removal date at cancellation. Arrange alternative hosting before that date if you wish to maintain an online presence.
Domain. Your domain name is yours. After cancellation, you will need to update your domain's DNS settings to point to a new host. AI Lead Nexus will provide basic guidance on this process at no charge.
Important. If AI Lead Nexus built your website, it will be taken down when your subscription ends. This is stated here, reiterated during onboarding, and confirmed at cancellation.
Ownership. Customer retains all right, title, and interest in and to Customer Data. AI Lead Nexus holds a limited, non-exclusive license to use your data solely to provide the services described in these Terms and to comply with applicable law.
No sale of data. AI Lead Nexus does not sell, rent, or share your data or your customers' data with third parties for marketing or commercial purposes.
Privacy Policy. Our collection and use of your information is described in our Privacy Policy at aileadnexus.com/privacy-policy.
Data portability. You may export your contact and customer data from your dashboard at any time. We recommend doing so before cancellation, as data may not be accessible after account closure.
Except for Customer Data, AI Lead Nexus retains all intellectual property rights in our platform, systems, workflows, automations, configurations, and any websites built for clients. You receive a limited, non-exclusive, non-transferable license to access and use these during your active subscription. This license terminates when your subscription ends for any reason.
You may not reverse-engineer, copy, resell, or create derivative works from our systems, configurations, or website designs.
We make reasonable efforts to maintain service availability and performance. We do not guarantee uninterrupted service. Scheduled maintenance, third-party provider issues, and unforeseen technical problems may occasionally affect availability.
AI Lead Nexus is not liable for leads missed, revenue lost, or business impact caused by service interruptions, whether caused by our systems or the third-party technology providers we depend on.
AI Lead Nexus is not liable for failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet or telecommunications outages, third-party technology provider failures, cyberattacks, or any other event outside our reasonable control. In such circumstances, our obligations are suspended for the duration of the event.
Liability cap. To the maximum extent permitted by applicable law, AI Lead Nexus's total aggregate liability to you for any and all claims arising from or related to these Terms or our services is limited to the total fees you paid us in the 30-day period immediately preceding the event giving rise to the claim.
No consequential damages. AI Lead Nexus is not liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost leads, missed calls, lost business opportunities, or reputational harm — even if advised of the possibility of such damages.
These limitations apply regardless of the legal theory under which a claim is brought and survive termination of these Terms.
You agree to indemnify, defend, and hold harmless AI Lead Nexus, its owner, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services in violation of these Terms; (b) your violation of any applicable law or third-party right; (c) automated communications we send on your behalf to your customers; or (d) your customers' claims related to the AI's interactions with them on your behalf.
Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our AI will capture every lead, answer every call without error, or produce any specific business outcome.
You may not assign or transfer your subscription or any rights under these Terms without our prior written consent. AI Lead Nexus may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.
We reserve the right to suspend or terminate your subscription immediately, without refund, if you fail to pay fees after notice, violate these Terms, use our services for unlawful purposes, or engage in conduct abusive to AI Lead Nexus personnel or systems.
22. Changes to These Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Your continued use of our services after the effective date constitutes acceptance. If you do not agree to updated Terms, you may cancel before they take effect.
Informal resolution first. Before initiating any formal dispute, both parties agree to attempt informal resolution by contacting us at [email protected]. We will respond within 5 business days.
Mediation. If informal resolution fails, both parties agree to attempt mediation through a mutually agreed mediator in Maricopa County, Arizona before pursuing litigation.
Governing law. These Terms are governed by the laws of the State of Arizona. Disputes not resolved through mediation shall be brought exclusively in the state or federal courts of Maricopa County, Arizona. Both parties consent to personal jurisdiction in those courts.
Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between the parties regarding our services and supersede all prior discussions or agreements.
Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and all remaining provisions continue in full force.
No waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

AI Lead Nexus is operated by Eric Velez in the State of Arizona. These Terms do not create an employment, partnership, or joint venture relationship between the parties.
